What is the P0004 purpose code?

Purpose code P0004 covers money returning to India where the original investment in an overseas entity took the form of debt rather than equity. The entity is one the Indian party directs, meaning a branch, wholly owned subsidiary or associate, which is what makes it direct investment. Debt and equity are separated because they are different claims on the same entity: a shareholder owns part of it, while a lender is owed by it. The code covers the principal returning rather than any interest earned on it, since interest is income and reports under the primary income codes. Under RBI FEMA guidelines, this inward payment is classified under Capital Account and reported accordingly.

When to use P0004 purpose code?

Use P0004 where money your company invested in debt instruments issued by an overseas branch, subsidiary or associate is repatriated to India, whether on redemption, on repayment, or on unwinding the arrangement. Two things settle it: the holding was a direct investment rather than a portfolio one, and the money is the principal returning rather than interest on it.

When to use a different code:

  • Use P0003 when the repatriated investment was in equity shares rather than debt instruments
  • Use P0002 when the investment was a portfolio holding rather than a direct one
  • Use the matching S-code when money is being invested abroad rather than repatriated

Who typically uses P0004 purpose code

Indian companies repatriating debt investments from overseas branches, wholly owned subsidiaries and associate companies, typically on redemption of instruments, repayment of the underlying amount, or restructuring an overseas holding.

Examples of transactions covered under P0004 purpose code

  • Redemption proceeds on debt instruments issued by an overseas subsidiary
  • Principal returned on unwinding a debt investment in a foreign associate
  • Repatriation of debt capital on restructuring an overseas direct holding
  • Money returned on closing a debt position in an Indian company's overseas branch

When NOT to use P0004 purpose code

  • The repatriated investment was in equity shares rather than debt instruments (use P0003)
  • The investment was a portfolio holding rather than a direct one (use P0002)
  • The money is interest earned on the debt rather than the principal itself (use P1410)
  • Money is being invested abroad rather than repatriated (use the matching S-code)

Documents required for P0004 purpose code

To receive a payment under P0004, keep the following documents ready so your bank can verify the transaction and report it correctly under FEMA.

DocumentPurpose
Records of the original debt investment - Establish what was invested, in which entity, and on what termsRedemption or repayment documentation - Evidences why the principal is being returned and how the amount was determined
Purpose declaration form - The inward remittance form where the purpose of funds is formally statedKYC documents (if requested) - Used to verify your company during onboarding or compliance checks

How is a P0004 Purpose Code declared?

Declaring the code is pretty straightforward. Here's how the payment gets tagged and reported.

  1. Confirm the nature of the holding: Establish that the investment was a direct one in debt instruments rather than equity or a portfolio holding.
  2. Complete the underlying transaction: Redeem, repay or unwind the debt investment under the applicable approvals.
  3. Receive the repatriation: The principal is remitted to your Indian account.
  4. Declare the purpose: State the purpose of the inward remittance on your bank's form.
  5. Reporting is completed: The receipt is documented and reported under FEMA.

Common mistakes to avoid while using P0004 purpose code

A few common slips can cause reporting problems.

  1. Confusing principal with interest: Coding interest earned on the debt here, when this code covers the principal returning and interest reports as income under the primary income codes.
  2. Mixing equity and debt: Using one code where both were repatriated, when the two have separate codes and a combined remittance needs splitting.
  3. Confusing direct and portfolio holdings: Applying P0004 to a passive debt holding, when direct investment means the debt was in an entity you direct.
  4. Code and document mismatch: The code not matching what your redemption documentation describes, which flags the payment.
  5. Incomplete documents: Missing records of the original investment, so the bank cannot establish what is being returned and holds the remittance.
  6. Using an inward code for an outward payment: Applying a receipt code to money being invested abroad instead of the matching outward code.
